1. Acceptance of Terms

By accessing or using the Memoairs application and website (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. Memoairs Inc. ("Memoairs," "we," "us," or "our") reserves the right to update these Terms at any time.

2. Description of Service

Memoairs is a platform that allows users to create diary entries using text, photos, and audio, and uses artificial intelligence to produce personalized films ("memoairs") based on that content. The Service includes mobile applications, web interfaces, and related features.

3. Account Registration

To use certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4. User Content

Ownership: You retain ownership of all content you submit to the Service, including text, photos, audio recordings, and other media ("User Content").

License: By submitting User Content, you grant Memoairs a non-exclusive, worldwide, royalty-free license to use, process, store, and display your User Content solely for the purpose of providing and improving the Service, including generating your memoairs.

Responsibility: You are solely responsible for your User Content. You represent that you own or have the necessary rights to submit your User Content and that it does not violate any third party's rights.

5. AI-Generated Content

The films and other content generated by our AI systems ("Generated Content") are created based on your User Content. You own the Generated Content produced from your account. We do not guarantee the accuracy, completeness, or quality of Generated Content. AI-generated films are intended for personal and social use.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Upload content that is defamatory, obscene, or infringes on others' rights
  • Attempt to gain unauthorized access to the Service or its systems
  • Interfere with or disrupt the Service or its infrastructure
  • Use automated tools to scrape or extract data from the Service
  • Impersonate another person or entity
  • Use the Service to harass, abuse, or harm others

7. Subscriptions and Payments

Certain features of the Service may require a paid subscription. Subscription fees are billed in advance on a recurring basis. You may cancel your subscription at any time through your account settings or the app store through which you subscribed. Refunds are handled in accordance with the applicable app store policies.

8. Intellectual Property

The Service, including its design, features, code, and branding, is owned by Memoairs and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our prior written consent.

9. Termination

We may suspend or terminate your account at any time if you violate these Terms or for any other reason at our discretion. You may delete your account at any time through the app settings. Upon termination, your right to use the Service ceases, and we may delete your account data in accordance with our Privacy Policy.

10. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or secure. We are not responsible for the accuracy or quality of AI-generated content.

11. Limitation of Liability

To the fullest extent permitted by law, Memoairs shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability shall not exceed the amount you paid to us in the twelve months preceding the claim.

12. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts of Delaware.
